These Terms of Service ("Terms") govern your access to and use of vizival.com and the ViziVal financial modeling and valuation tool (the "Tool"), any digital product purchased from us (the "Product"), and any related services we offer (together, the "Service"), operated by ViziVal ("ViziVal," "we," "us," or "our"). By accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

ViziVal provides a browser-based financial modeling and valuation tool that generates a 5-year financial model, valuation estimate, and related reports from figures you enter. A free interactive version is available at vizival.com, and a standalone, single-file version of the full Tool is available for one-time purchase. We may from time to time offer additional features, products, or subscription services; those will be governed by these Terms together with any additional terms presented at the time.

2. Your Data and the Free Tool

The free interactive Tool runs entirely in your web browser. We do not receive, store, or have access to the company names, financial figures, or other information you enter into the free Tool — that data stays on your device for that browsing session and is never transmitted to our servers. You are solely responsible for the accuracy of any information you enter, and for saving or exporting your own work, since nothing is retained by us between sessions.

You retain all rights to the financial data, figures, and business information you enter into the Tool. We claim no ownership over your inputted data.

3. Purchases, Pricing, and Delivery

Certain features (including PDF export, Excel export, editable-model export, and What-If scenario testing) require purchasing the Product. Purchases are processed through our e-commerce platform (currently Shopify) and its payment provider(s); we do not directly collect or store your full payment card details.

The Product is delivered as a digital download (a single self-contained file) immediately after payment is confirmed, via a delivery link shown on the order confirmation and order status page, and/or emailed to the address provided at checkout. There is no physical shipment.

Prices are shown in U.S. dollars unless stated otherwise and may change at any time; the price in effect at the time you complete checkout applies to that purchase.

4. License to the Product

Subject to your compliance with these Terms and payment of the applicable price, we grant you a limited, non-exclusive, non-transferable license to download and use one copy of the Product for your own internal business or personal use, and to create and use financial models and reports for companies you own, advise, or are otherwise authorized to model.

You may not: resell, sublicense, rent, or redistribute the Product or its underlying files; remove or alter any branding, copyright, or trademark notices contained in it; reverse engineer, decompile, or attempt to extract the source code except to the extent applicable law expressly permits; or use the Product to build a competing product or service.

5. Refunds

Because the Product is a digital download that is delivered immediately and can be copied once received, all sales are final once the download link has been issued, except where a refund is required by applicable law (see Section 12 for additional rights that may apply to consumers in the European Union and United Kingdom). If you believe you were charged in error or the file you received is defective, contact us at info@vizival.com and we will work with you in good faith to resolve it.

6. No Professional Advice

The Tool is provided for informational and planning purposes only. It does not constitute, and should not be relied upon as, financial, investment, accounting, tax, or legal advice, and does not constitute a formal business valuation, fairness opinion, or appraisal. Outputs depend entirely on the figures and assumptions you enter and on general industry benchmark data we provide for context; actual results may differ materially. You should consult a qualified financial, tax, or legal professional before making any decision based on output from the Tool, including any decision to buy, sell, invest in, or value a business.

7. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to the Service, our systems, or other users' data; interfere with or disrupt the Service's operation; or misrepresent Tool output as an independent, certified, or audited valuation.

8. Intellectual Property

The Service, the Tool, its design, software, templates, report formats, and all associated trademarks (including the ViziVal name and logo) are owned by ViziVal or its licensors and are protected by intellectual property laws. See our Legal Notice (Trademark & Copyright) for details. Nothing in these Terms transfers any of that ownership to you, except the limited license described in Section 4.

9. Disclaimer of Warranties

The Service and Product are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that calculations will be accurate for your specific circumstances.

10. Limitation of Liability

To the fullest extent permitted by law, ViziVal and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service or Product, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose.

11. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 5–10 and 12–14) will survive.

12. Additional Rights for EU and UK Consumers

If you are a consumer located in the European Union or United Kingdom, you may ordinarily have a statutory right to withdraw from an online purchase within 14 days without giving a reason. Because the Product is digital content delivered immediately upon purchase, by completing checkout and requesting immediate delivery you acknowledge that you lose this right of withdrawal once download begins, to the extent permitted by applicable law. Nothing in these Terms limits any consumer protection right that cannot lawfully be waived in your jurisdiction.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws principles, except to the extent mandatory consumer-protection law of your own country or state provides otherwise.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
